Bids must be in the actual possession of Materials Management on or prior to the time and date, and at the location indicated. Materials Management is located on the third (3rd) floor of the Glendale Municipal Office Complex (City Hall) behind the Engineering Department. Bids are accepted from the hours of 8:00 a.m. and 5:00 p.m., Monday through Friday, unless otherwise indicated for a holiday. All bids will be time stamped at the Engineering Department’s front counter. Late bids will not be considered. The City of Glendale offices will be closed on July 4, 2013 in recognition of Independence Day. Offices will return to regular hours on July 5, 2013. Bids must be submitted in a sealed envelope with the Solicitation Number and the Bidder's name and address clearly indicated on the envelope. See Paragraph 2.3 for additional instructions for preparing an offer. Bids shall be opened publicly at the time, place and location designated on this page. INTRODUCTION The City of Glendale is issuing this IFB to establish a term contract for the emergency repair and periodic maintenance of Water Service Department (WSD) Generators with licensed and qualified Contractors. This will be a Multiple Award Contract with a primary and secondary Contractor. In the event that the primary Contractor is not available to provide the required services, the secondary Contractor shall receive the order. The Water Services Facility Supervisor (WSFS) will provide the Contractor with specific periodic and annual maintenance schedules per contract year. The Contractor will be available for emergency repair 24 hours per day, 365 days per year. The contractor shall check the YES or NO boxes for each specification on each page of section 1. If the contractor checks the NO box for any specification, the contractor must provide an explanation and alternate information as an attachment to section 3. The Contractor shall have the resources and capability to provide the services described herein. Contractor acknowledges and agrees that it meets, and shall maintain for the duration of this contract, the following minimum conditions and requirements: Contractor has been in business for a minimum of three years performing maintenance and emergency repairs to the Generators herein prior to the award of this contract. MAINTENANCE SPECIFICATION The Contractor will perform periodic maintenance, and emergency repairs to the WSD Generators in a timely manner, ensuring that reliable stand-by power will be available when needed. If the duration of repairs is not acceptable, the Contractor is to arrange for equal or greater than the existing power generation temporary power generation. The Contractor shall perform all services in accordance with the manufacturer’s recommended specifications and with best standards and practices of the trade(s) involved in installing, inspecting, maintaining, and repairing generators and components. The Contractor shall also ensure that liquids-per-hour-used are consistent with the manufacturer’s operations and maintenance manual for each Generator. The Contractor will be responsible for sourcing out new original equipment from the manufacturer or equivalent, replacement components and parts. This includes maintaining sufficient inventory of repair parts and equipment to perform routine emergency generator service, and repairs to brand, types and sizes of generators on the attached equipment list (Section 1.4). The Contractor will warrant all installation, repairs, and workmanship for a minimum of one year. Warranty certificates shall be provided by the Contractor. Any bid received without warranty certificates will be deemed unresponsive. The Contractor will adhere to City policies pertaining to security and protection of City owned equipment while performing the work. The Contractor will keep the areas involved with the WSD Generator and its surrounding facilities in clean order, ensuring the removal and disposal of debris/waste and recycling of used oil associated with the emergency repair or periodic maintenance.

SPECIFICATIONS
The Contractor will perform an annual maintenance event that will occur in the month of June. All labor and equipment shall be covered under the warranty requirements of this IFB. WORK SCHEDULE The Contractor will work with the WSFS to schedule the specific dates and sites of the four maintenance events in September, December, March, and June upon awarding of this Contract. For emergency repairs, the contractor will provide the WSFS with a list of phone numbers to call for the following needs: regular hours emergency repair requests (6:00 AM to 6:00 PM) and after hours emergency repair requests (6:01 PM to 5:59 AM). After hours emergency includes weekend calls including days that fall on City holidays. The Contractor is required to respond to emergency calls and be at the specified location within two-hours upon verbal confirmation. Phone messages should be responded to within one hour. If the SWFS deems that the Primary Contractor cannot meet this requirement, the work will then be given to the Secondary Contractor. All works are expected to be completed in a timely manner, posing no impediments to the City of Glendale facilities. SPECIAL TERMS AND CONDITIONS
2.1
INCORPORATION BY REFERENCE All responses shall incorporate by reference the Scope/Specifications, Standard Terms and Conditions, Special Terms and Conditions, and any attachments. The Standard Terms and Conditions applicable to this solicitation are posted on the Internet. They are available for review and download at the City’s Materials Management Internet page, www.glendaleaz.com/purchasing. Bidders are advised to review all provisions of the Standard Terms and Conditions for this solicitation.
2.2
RETURN OF BID One originally signed Bidder Sheet (Section 4.0), one copy of the Specifications (Section 1.0), Additional Submission Requirements (Section 3.0) and one copy of the Pricing Page (Section 5.0). The bidder shall complete all sections of the solicitation in the format given (Bidder Sheet, Pricing Page and Additional Submission Requirements) in the space provided. If additional space is needed than what is given, enter “See Attachment A for detail.”
2.3

TERM OF AGREEMENT The term of agreement for this bid shall be for a one (1) year initial period.

OPTION TO EXTEND The City may, at its option and with the approval of the Contractor, extend the term of this agreement four (4) additional years in one (1) year increments based on satisfactory contractor performance. Contractor shall be notified in writing by the City Materials Manager of the City's intention to extend the contract period at least thirty (30) calendar days prior to the expiration of the original contract

period. Price adjustments will only be reviewed during contract renewal. An updated list of events and date will be provided, if requested, at the time of renewal. 2.8
ESTIMATED QUANTITIES Quantities listed are the City’s best estimate and do not obligate the City to order or accept more than City’s actual requirements during the period of this agreement as determined by actual needs and availability of appropriated funds. It is expressly understood and agreed that the resulting contract is to supply the City with its complete actual requirements for the contract period, except that the estimated quantity shown for each proposal item shall not be exceeded by 100 % without the express written approval of the Materials Manager. Any demand or order made by any employee or officer of the City, other than the Materials Manager, for quantities in the excess of the estimated quantities shall be void if the written approval of the Materials Manager was not received prior to the Contractor's performance.

PERMITS AND LICENSES – The Contractor shall be responsible for determining and securing, at his/her expense, any and all licenses and permits that are required by any statute, ordinance, rule or regulation of any regulatory body having jurisdiction in any manner connected with providing operations and maintenance of the facility. Such fees shall be included in and are part of the total bid cost. During the term of the contract, the Contractor shall notify the City in writing, within two (2) working days, of any suspension, revocation or renewal.
2.10
INSURANCE Contractor, performing as an independent contractor hereunder, shall be fully responsible for providing Workers’ Compensation or other applicable insurance coverage for itself and its employees and the City shall have no responsibility of liability for such insurance coverage. Contractor shall provide to the City a copy of the policy or a certification by the insurance carrier along with the applicable endorsements showing the Contractor to have in effect during the term of this contract, a General Liability Insurance policy, which shall be the primary coverage for Contractor activities under this contract. The coverage limits of such insurance shall not be less than those listed below. The insurance company issuing the policy required above shall have an AM Best financial rating of “A- VII” or better and be authorized by the State of Arizona Department of Insurance to transact business within the State. The certificate and policy shall name the City, its officers, directors, employees, agents and assignees as an additional insured and shall be primary and non-contributory for any insurance and/or self-insurance coverage maintained by the City. The City shall also be an additional insured to the full limits of the liability insurance purchased by the Contractor even if those limits are in excess of those required by this contract.

The City reserves the right to terminate any Contractor agreement if the Contractor fails to maintain such insurance coverage. Contractor hereby grants to City a waiver of any right to subrogation which any insurer of said Contractor may acquire against the City by virtue of the payment of any loss under such insurance. Contractor agrees to obtain any endorsement that may be necessary to effect this waiver of subrogation, but this provision applies regardless of whether or not the City has received a waiver of subrogation endorsement from the insurer. Contractor must provide certification of insurance and amendatory endorsements or copies of the applicable policy language providing the insurance coverage required below. All certificates and endorsements are to be received and approved by the City within ten (10) calendar days after notification of award. Certification must include: name and address of insurance company; policy number; liability coverage amounts; a statement the policy will not be canceled or failed to be renewed without ten (10) days written notice to the City. WORKER'S COMPENSATION Contractor shall be in full compliance with the provisions of the Arizona Worker's Compensation Law (Title 23, Chapter 6, Arizona Revised Statutes) as amended, and all rules and regulations of the Industrial Commission of Arizona made in pursuance thereof. Contractor shall secure payment of compensation to employees by insuring the payment of such compensation with the State Compensation Fund or any insurance company authorized by the Insurance Department of Arizona to transact business in the State of Arizona. Contractor further agrees that he shall require any and all sub-contractors performing work under the agreement to comply with said Worker's Compensation Law. It is expressly understood and agreed that all persons employed directly or indirectly by the Contractor, or any of his sub-contractors, shall be considered the employees of such Contractor, or his sub-contractor(s), and not the employees of the City.

PROCUREMENT CARD ORDERING CAPABILITY It is the intent of the City to utilize the City's Procurement Card (i.e. MasterCard/Visa/American Express), to place and make payment for orders under this Contract. Proposers without this capability may be considered non responsive and not eligible for award consideration.

NOTICE OF INTENT TO AWARD Information about the recommended award for this solicitation will be posted on the Internet. The information will be available for review on the City’s Materials Management Internet page www.glendaleaz.com/purchasing immediately after the City has completed its evaluation process of the bids received. If you have any questions, or would like further information about an intended award, contact the buyer immediately. Any protest must be submitted to the Materials Manager no later than seven (7) calendar days from the date of posting on the Internet.

POST AWARD CONFERENCE After award of the contract, the Contractor may be required to attend a post award conference.
2.15
PERFORMANCE SURETY REQUIREMENTS The performance sureties shall be in the form of a bond, cashier's check, certified check or money order. Personal or company checks are not acceptable unless certified. Letters of credit are not acceptable. Individual sureties are not acceptable. PERFORMANCE SURETY The successful proposer shall, at the time of entering into the contract, furnish a performance surety in the form of a bond, money order or certified or cashier's check, in the amount of 25 percent of the contract amount guaranteeing the faithful performance of the contract by the proposer.

If a bond is submitted, it shall be written on the form provided by the City as an attachment to the proposal documents. The attorney-in-fact who executes the bond on behalf of the surety shall affix to the bond a certified and current copy of the power of attorney. The bond must be written by a surety with a Best Rating no less than an A and must be authorized and licensed to do business in this State by the Arizona Department of Insurance. Individual sureties and letters of credit are not acceptable. 2.16
EMERGENCY BUSINESS SERVICES During a natural disaster, or homeland security event, there may be a need for the City to access your business for products or services twenty-four (24) hours a day, seven (7) days a week, three hundred sixty-five (365) days a year. The need could be for a pick up or a delivery. For this purpose, a primary and secondary emergency contact name and phone number are required from the successful contractor(s). It is critical to the City that the contactor’s emergency contact information remains current. The Materials Management staff member, identified on page one (1), is to be contacted by E-mail with any change to a contact name or phone number. All products or services provided to meet an emergency phone request are to be supplied as per the contract prices, terms and conditions. The Contractor shall provide the fee (pricing) for an after-hours emergency opening of the business, if any. In general, the order will be placed using a City Procurement Card. The billing is to include the emergency opening fee, if applicable. The Contractor shall provide the names, phone numbers and fee (pricing), if any, for an after-hours emergency opening of the business in Section Four, the Pricing Page.

LIQUIDATED DAMAGES If the successful Contractor fails to deliver the supplies or perform the services within the time specified in this contract, or any extension thereof, the actual damages to the City for the delay will be difficult or impossible to determine. Therefore, in lieu of actual damages, the successful proposer shall pay to the City as fixed, agreed, and liquidated damages for each calendar week of delay, the amount of $50.00/property. The successful Contractor shall not be charged with liquidated damages when the delay arises out of cause beyond the control and without the fault of negligence of the successful proposer. The City shall determine what is beyond the control of the successful proposer and his supplier.

ADDITIONS/DELETIONS OF SERVICE Additional locations may be added from time to time. If this occurs, the Contractor will be requested to submit a negotiable quotation for the additions. Upon approval and authorization by the Materials Manager such additions will be added to and become a part of the contract through properly executed forms.

SUPPLEMENTAL SPECIFICATION LICENSE The contractor will hold a current license with the Arizona Registrar of Contractors that is applicable for the performance of this type of commercial work and shall maintain the license throughout the contract period. Contractor will have no unsatisfied judgments or liens resulting from complaints against the contractor. Proof of the current license is to be submitted with the offer. The Contractors shall submit proof of their current license.
