Sweepstakes is void outside the cities within the states listed above, and is void wherever prohibited or restricted by law. Entrant must abide by these Official Rules and by the decisions of Food Lion, LLC (the “Sponsor”), and Universal Promotions, Inc. (“UPI”) which are final and binding in all matters related to this Sweepstakes, and are not open to appeal. By entering Sweepstakes each entrant warrants that he/she has read and agrees to abide and be bound by these Official Rules. Entrant and attempted entrant agree to waive any right to claim ambiguity in this Sweepstakes, and that Sponsor and/or UPI shall retain full authority, in its sole discretion, to interpret and administer the Official Rules, and to be bound by all decisions and interpretations made in good faith by Sponsor and/or UPI. Winning and receiving a prize is contingent upon compliance of these Official Rules and fulfilling all requirements. The following persons are not eligible to enter the Sweepstakes: Employees, directors and officers, agents or representatives of Sponsor, UPI, any subsidiary, or affiliate of Sponsor or UPI, and suppliers who are directly involved with providing prizes and/or services in connection with this Sweepstakes, including promotional agencies, (collectively, the “Excluded Individuals”); and any immediate family members of Excluded Individuals (defined as spouse, parent, child, sibling, grandparent, grandchild, and/or “step” of each) and those persons living in the same households of Excluded Individuals whether or not related. 3. HOW TO ENTER SWEEPSTAKES: NO PURCHASE NECESSARY TO ENTER OR WIN. THERE ARE TWO METHODS OF ENTRY: a. Online Method of Entry: To enter the Sweepstakes via the online method of entry an entrant will be required to be a Food Lion MVP Card holder (the “MVP Card holder”). To request a free Food Lion MVP card (the “MVP card”) visit www.foodlion.com, click on “Learn More”, beside Save More as a Food Lion MVP, click on “Become a MVP”, or visit a Food Lion store (the “store”) and complete a paper application. Becoming a MVP Cardholder will not improve an entrant’s chance of winning a prize. During the Sweepstakes Period (defined below in Rule #5), an entrant may visit www.foodlion.com/GetYourLionsShare and enter the Sweepstakes. Once an entrant clicks on the “enter Sweepstakes”, an entrant will advance to the Sweepstakes registration page (the “form”). Entrant must then follow the instructions to complete the form and successfully submit his/her form. In the event an entrant fails to provide the required information on the form, and/or if the required information on the form is not valid, and/or if the form is not

In case of a dispute as to the identity of an online entrant, entry will be considered to have been made by the authorized account holder of the email account through which the submission occurred regardless of the individual that submitted the entry. Entrants are not permitted to share the same email account. In the event of a dispute regarding entries received from multiple entrants using or having the same email address, the authorized account holder of the email address at the time of submission will be deemed to be the entrant. Sponsor and UPI reserve the right to deem that the entry was submitted by the authorized account holder of the email address. “Authorized Account Holder” is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or any organization that is responsible for assigning email addresses or the domain associated with the submitted email address. Entrant may be required to show proof of being the Authorized Account Holder. At the completion of the form there may be two (2) options for an entrant to opt-in and: a) become a subscriber to Food Lion’s e-newsletter (the “Shoppers’ Companion”); b) become a member and enroll in Food Lion’s Mobile Club (the “mobile club”). An entrant is not required to opt-in to Shoppers’ Companion and/or mobile club to receive an online entry into the Sweepstakes. By entering this Sweepstakes and choosing to check the “opt-in” box for Shoppers’ Companion and/or mobile club on the form, you are agreeing to receive Food Lion’s online newsletter Shoppers’ Companion via the email address you provided and/or text messages to the mobile number you provided on the form until you choose to unsubscribe. Opting-in to become a Shopper’s Companion subscriber and/or mobile club member will not improve an entrant’s chance of winning a prize. There is a limit of one (1) online entry per natural person. Any attempt by an entrant to obtain more than one online entry by using multiple/different email accounts, identities, registrations, logins, or any other method may be disqualified from the Sweepstakes. i. On-line Entrants Can Get Additional Entries Into Sweepstakes: There are two (2) methods for an online entrant to receive additional entries into the Sweepstakes. Method 1 MVP Card for an Additional Entry: An online entrant may receive an additional automatic entry into the Sweepstakes for each participating product (defined below) he/she purchases using his/her MVP Card during the Sweepstakes Period at a participating store (a participating store is defined as any Food Lion store located within the states and cities named above under Rule #1). For an online entrant to receive an automatic entry into the Sweepstakes he/she: a) must register for the Sweepstakes using the online method of entry as described above and include his/her MVP Card number on his/her form (MVP Card must be registered with the same name listed on the form); b) must shop at a participating store during the Sweepstakes Period and use his/her MVP Card that was previously registered on the form during a purchase transaction that includes a participating product. All qualifying purchases of a participating product during the Sweepstakes Period will become retroactive additional entries for an entrant upon entrant’s successful submission of his/her form during the Sweepstakes Period. Participating Products: Any size of any fresh produce item found within the produce department of the store will be considered to be participating products (for example: apples, oranges, cucumbers, lettuce, and celery). Any produce items that are sold as a bunch and/or in a bag such as celery, broccoli, asparagus, strawberries and grapes will be considered to be only one additional entry. Products that are found in the produce department but are not fresh produce will not be considered to be participating products. Method 2 Mobile Method of an Additional Entry: To receive an additional entry using the Mobile Method, an entrant must be a registered member of Foursquare® or Facebook service. If entrant is not a registered member of Foursquare or Facebook, entrant must visit www.foursquare.com or Facebook.com to register for free, download the free smart phone application and register through the application. Registration for and use of the Foursquare system and other Foursquare applications are subject to Foursquare’s and Facebook’s terms and conditions. If entrant chooses to use Foursquare via a wireless mobile device (which may only be available via participating wireless carriers and is not required to enter this Sweepstakes), and/or download or transmit data via his/her wireless mobile device, standard rates will apply according to the terms and conditions of entrant’s service agreement with his/her wireless carrier. Other charges may apply (such as normal

Entrant should contact his/her wireless carrier for more information on rate plans and charges relating to his/her participation in this Sweepstakes. For an online entrant to receive an automatic entry into the Sweepstakes using the Mobile Method, he/she must; a) register for the Sweepstakes using the online method of entry as described above, include his/her MVP Card number and mobile phone number on his/her form; and b) check-in to a Food Lion store in a participating location during the Promotion period via his/her Facebook or Foursquare account. Each time an entrant visits a Food Lion store in a participating location during the Sweepstakes Period and checks-in via his/her Facebook or Foursquare account, he/she will receive one entry into the Sweepstakes. There is a limit of one (1) check-in per day. For the purpose of this Sweepstakes “per day” is defined as a twenty four (24) hour period beginning at 12:00 a.m. Eastern Time (“ET”) and ending at 11:59:59 p.m. ET. Attempts to check-in at multiple store locations on the same day will not be permitted. All check-in entries must be recorded during the Sweepstakes Period, during the operational hours of the store and within the beginning and ending times of the Sweepstakes Period. Sponsor and UPI are not responsible for any check-in’s not recorded for any reason whatsoever. Use of any automated system to submit a check-in is prohibited and will result in those entries becoming null and void. Wireless service may not be available in all area b. Free Mail-in Method of Entry: To enter without an online entry, without purchase and without becoming a MVP Card holder, hand print on a piece of paper your complete name, address, city, state, postal code and daytime phone number. Mail each entry in separate envelope with first class postage affixed, to: Universal Promotions Inc., P.O. Box 193, Bethel Park, PA 15102, Attention: Food Lion Kitchen Makeover Sweepstakes. Each entry must be in a separate hand addressed envelope, postmarked and received by the dates outlined below in Rule #5. No mechanically reproduced or photocopied entries are permitted. There is no limit to the number of mail-in entries an entrant may submit, but the mail-in entries must adhere to the dates outlined below in Rule #5. 4. GENERAL SWEEPSTAKES INFORMATION: By submitting an entry into the Sweepstakes each entrant warrants and represents to Sponsor and UPI that the information contained in the entry is true and correct in all material respects and that Sponsor or UPI may rely on such information in its effort to comply with applicable laws and regulations. False or deceptive entries or acts, including misrepresentation of age, shall render such entries ineligible. An entrant may be required to produce proof of identity, address, and/or birth date. Once an entry is submitted, it cannot be deleted, canceled or modified by an entrant. All entries become the sole property of the Sponsor and may not be acknowledged or returned. Entrants and prize winners acknowledge and agree their entries become the property of the Sponsor, which thereby has the right to promote and otherwise use entries in any way Sponsor sees fit. Entrant agrees Sponsor, or agency acting on behalf of Sponsor may edit, electronically manipulate or otherwise alter any entry without notice or consent. Sponsor reserves the right to publish any entry submitted in the Sweepstakes by an entrant, without notice, without credit and without compensation except where prohibited by law. Entrant grants to Sponsor, and/or any representative acting on behalf of Sponsor the right to use all information related to the Sweepstakes, for marketing purposes, administration of Sweepstakes, or any other purpose Sponsor believes may be of interest to entrant about products and services offered by Sponsor, unless prohibited by law. Sponsor assumes no liability for any entries that are submitted into the Sweepstakes that violate these Official Rules. In the event an entrant wins a prize, and is later found to be in violation of these Official Rules, entrant will be required to forfeit the prize or, if the violation is discovered after the prize winner has used or redeemed the prize, to reimburse Sponsor or UPI for the stated approximate retail value (the “ARV”) of the prize listed in these Official Rules. Sponsor and/or UPI shall have the absolute right to determine if an entry is in compliance with these Official Rules without notice to the entrant. Sponsor and UPI reserve the right to verify the eligibility of any entrant. Any entry and/or entrant not in compliance with these Official Rules will be disqualified. In the event of failure to capture any information for any reason whatsoever, including but not limited to as a result of the effects of hackers or the failure of any electronic equipment, computer or cellular transmission, or network connections, any such attempted entries will be null and void. Food Lion Kitchen Makeover Phase 4 Sweepstakes Official Rules any lost, late, illegal, intercepted, incomplete, misdirected, damaged, destroyed, mutilated, postage due and/or not received entries, or for errors, omissions, interruptions, deletions, defects, delays in operations, in transmissions of entries. Proof of sending an entry submission will not be deemed to be proof of receipt by Sponsor and/or UPI. If for any reason whatsoever data is not available to contact a potential prize winner, the entry will become null and void and the entrant will be disqualified from the Sweepstakes. Any other attempted form or method of entry for Sweepstakes, except as outlined above will void that entrant’s entry and that entrant will be disqualified. In the event of a conflict between these Official Rules and the Sponsor’s Privacy Policy, to the extent it applies, the Official Rules will control. 5. SWEEPSTAKES PERIOD, PROMOTION PERIODS, DRAWING DATES: The Sweepstakes Period is the overall timeframe of the Sweepstakes. Within the Sweepstakes Period will be four (4) Promotion Periods. Sponsor is the official timekeeper of the Sweepstakes. All eligible entries will be automatically entered into subsequent Promotion Period Drawings and the Sweepstakes Period Drawing based on the date(s) an entrant’s entry was received and/or from the date an entrant’s mail-in entry was post marked and received. There is a limit of one prize per person, per household, per Promotion Period Drawing. A prize winner may be eligible to receive one (1) prize from one (1) Promotion Period Drawing and one (1) prize from the Sweepstakes Period Drawing (provided all eligibility requirements and terms & conditions of these Official Rules are met). a. Sweepstakes Period: The Sweepstakes Period begins at 12:00 a.m. Eastern Time (“ET”)) on 6/19/13 and ends at 11:59:59 p.m. ET on 7/16/13. Sweepstakes Period mail-in entries must be postmarked by 11:59:59 p.m. ET on 7/16/13, and received by 7/20/13. On or about 7/25/13, UPI will conduct a random Sweepstakes Period drawing for one (1) grand prize winner, one (1) First Prize Winner and one (1) Second Prize Winner by combining eligible entries received from the online method of entry, the mail-in method of entry, Method 1 MVP Card for an Additional Entry, and Method 2 Mobile Method of an Additional Entry. b. Promotion Period 1: Promotion Period 1 begins on or about 12:00 a.m. ET on 6/19/13 and ends on or about 11:59:59 p.m. ET on 6/25/13. Sweepstakes mail-in entries must be postmarked by 11:59:59 p.m. ET on 6/25/13 and received by 6/29/13 to be included in Promotion Period 1 drawing date. On or about 7/1/13, UPI will conduct a random drawing for one hundred (100) Promotion Period 1 Prize Winners by combining eligible entries received from the online method of entry, the mail-in method of entry, Method 1 MVP Card for an Additional Entry, and Method 2 Mobile Method of an Additional Entry. c. Promotion Period 2: Promotion Period 2 begins on or about 12:00 a.m. ET on 6/26/13 and ends on or about 11:59:59 p.m. ET on 7/2/13. Sweepstakes mail-in entries must be postmarked by 11:59:59 p.m. ET on 7/2/13, and received by 7/6/13 to be included in Promotion Period 2 drawing date. On or about 7/8/13, UPI will conduct a random drawing for one hundred (100) Promotion Period 2 Prize Winners by combining eligible entries received from the online method of entry, the mail-in method of entry, Method 1 MVP Card for an Additional Entry, and Method 2 Mobile Method of an Additional Entry. d. Promotion Period 3: Promotion Period 3 begins on or about 12:00 a.m. ET on 7/3/13 and ends on or about 11:59:59 p.m. ET on 7/9/13. Sweepstakes mail-in entries must be postmarked by 11:59:59 p.m. ET on 7/9/13, and received by 7/13/13 to be included in Promotion Period 3 drawing date. On or about 7/15/13, UPI will conduct a random drawing for one hundred (100) Promotion Period 3 Prize Winners by combining eligible entries received from the online method of entry, the mail-in method of entry, Method 1 MVP Card for an Additional Entry, and Method 2 Mobile Method of an Additional Entry. e. Promotion Period 4: Promotion Period 4 begins on or about 12:00 a.m. ET on 7/10/13 and ends on or about 11:59:59 p.m. ET on 7/16/13. Sweepstakes mail-in entries must be postmarked by 11:59:59 p.m. ET on 7/16/13, and received by 7/20/13 to be included in Promotion Period 4 drawing date. On or about 7/22/13, UPI will conduct a random drawing for one hundred (100) Promotion Period 4 Prize Winners by combining eligible entries received from the online method of entry, the mail-in method of entry, Method 1 MVP Card for an Additional Entry, and Method 2 Mobile Method of an Additional Entry. 6. SWEEPSTAKES PRIZES AND PROMOTION PERIOD PRIZES: The ARV of all prizes being awarded is forty eight thousand two hundred dollars ($48,200). Grand Prize Winner, First Prize Winner, Second Prize

Food Lion Kitchen Makeover Phase 4 Sweepstakes Official Rules Winner and Promotion Period 1,2,3, and 4 Prize Winners (the “Promotion Period prize winner”) must accept the prize as stated or prize may be forfeited and in the sole discretion of Sponsor may be awarded to an alternate prize winner. Any difference between the stated ARV of a prize and the actual value of a prize will not be awarded to the prize winner. No substitution of the prizes will be permitted or provided, except that Sponsor, in its sole discretion, may provide prizes of comparable or greater value. The prizes are non-transferable in whole or in part except at the discretion of the Sponsor. Sponsor reserves the right, to substitute a prize (or component thereof) of equal or greater value for any reason whatsoever. Food Lion Gift cards cannot be used to purchase alcohol, tobacco or lottery tickets. Prize winner shall bear all risk of loss or damage to prize upon being awarded to prize winner and Sponsor does not have any obligation or responsibility to replace prize if lost, damaged or stolen. Sponsor and UPI are not responsible for any fees, costs, or additional charges that may result from an entrant or prize winner entering and participating in the Sweepstakes and/or being awarded and/or receiving and/or using a prize. a. Grand Prize: One (1) Grand Prize Winner will receive a prize consisting solely of kitchen appliances, kitchen remodeling and kitchen design services (the “kitchen makeover”) from a home improvement retail establishment. In its sole discretion UPI and Sponsor will determine the home improvement retail establishment for the kitchen makeover and reserve the right to award the kitchen makeover in the form of gift card to a home improvement retail establishment. Gift Cards are not redeemable for cash and will not be replaced if lost or stolen. Grand prize winner must comply with the terms and conditions of the home improvement retail establishment design services and/or the home improvement retail establishment gift card policy. Kitchen makeover will be awarded “as is” with no warranty or guarantee Sponsor and/or UPI have not made nor in any manner are responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize thereof, including but not limited to its quality, condition, appearance, safety, and/or performance. The ARV of the grand prize is twenty five thousand dollars ($25,000). b. First Prize: One (1) First prize winner will receive ten thousand dollars ($10,000) to be awarded in the form of a check. The ARV of the First Prize is ten thousand dollars ($10,000). c. Second Prize: One (1) Second prize winner will receive free groceries for a year to be awarded in the form of Food Lion Gift Cards. The ARV of the Second Prize is five thousand two hundred dollars ($5,200). d. Promotion Period 1,2,3,4 and 4 Prize: Four hundred (400) Promotion Period prize winners will receive a prize consisting solely of a Food Lion Gift Card valued at twenty dollars ($20). The total ARV of Promotion Period prizes is eight thousand dollars ($8,000). Each Promotion Period prize winner will automatically be mailed his/her Food Lion Gift Card to the address he/she provided on his/her selected winning entry. A prize winner will be disqualified if his/her prize is returned as “non-deliverable. The value of the promotion period prize is taxable as income to the promotion period prize winner. The Promotion Period prize winner is solely responsible, at his/her own cost, for all matters relating to the prize, including but not limited to, all federal, state and local taxes. 7. ODDS OF WINNING THE SWEEPSTAKES will depend upon the number of eligible entries received. Sponsor reserves the right not to award a prize if they determine, in their sole discretion, that an insufficient number of eligible entries were received during the Sweepstakes Period. An unclaimed prize will not be awarded. 8. GRAND, FIRST, AND SECOND PRIZE WINNER NOTIFICATION/VERIFICATION: Grand Prize Winner, First Prize Winner, Second Prize Winner will be considered to be a potential prize winner until Sponsor and/or UPI confirms his/her prize winner status. UPI will make up to two (2) attempts to notify entrants who are selected as a potential Grand Prize Winner, First Prize Winner and Second Prize Winner by email or telephone. Sponsor and/or UPI are not obligated to leave a message on voice mail, answering machine or other communication device. Sponsor and/or UPI reserve the right to modify the notification process. In Sponsor’s or UPI’s sole discretion, an entrant selected as a potential Grand Prize Winner, First Prize Winner and/or Second Prize Winner may be disqualified and required to forfeit the prize if: a) there was a failure of the potential prize winner to receive UPI’s email or telephone message, or for the inability of such potential prize winner to return UPI’s email or telephone message for any reason; b) failed, returned or misdirected notifications due to inaccurate information provided by an

Food Lion Kitchen Makeover Phase 4 Sweepstakes Official Rules entrant; c) potential prize winner is unreachable and/or unresponsive after two (2) attempts of notification; d) potential prize winner declines or cannot accept, receive or use the prize or any component of the prize for any reason; e) potential prize winner does not meet eligibility requirements and/or fails to comply with these Official Rules; f) potential prize winner submits a response after the allocated response by date; g) potential prize winner does not return the release documents within the date specified by UPI. Sponsor and UPI are not responsible for any change in entrant’s name, mailing address, email address, and/or phone number. If attempted notification is returned as undeliverable, if prize winner cannot be verified, if any mail is returned to UPI as undeliverable without any forwarding address, if prize winner is disqualified, or if prize winner is unable to accept the prize as stated for any reason whatsoever, the prize will be forfeited without compensation of any kind and at the Sponsor’s and UPI’s discretion, an alternate prize winner may be selected. Winning a Grand Prize, First Prize and Second Prize is subject to verification of eligibility and UPI may require potential prize winner to show proof of identity. 9. REQUIREMENTS OF GRAND, FIRST and SECOND PRIZE WINNER: The potential Grand Prize Winner, First Prize Winner and Second Prize Winner will be required to complete and sign an Affidavit of Eligibility/Liability Release (the “affidavit”), have the affidavit notarized by an authorized notary public and return the affidavit to UPI by the date specified for verification purposes and prior to being declared the a prize winner. As permitted by law a Grand, First and Second prize winner will be required to submit back to UPI a Publicity Release form within the date specified by UPI. Grand, First and Second Prize winner must continue to comply with the Official Rules; and winning is contingent upon fulfilling all requirements. Grand, First and Second Prize winner accepts and will be bound to the terms and conditions of these Official Rules, the affidavit, and Publicity Release form. The value of the Grand, First and Second prize is taxable as income to the prize winner. The Grand, First and Second prize winner is solely responsible, at his/her own cost, for all matters relating to the prize, including but not limited to, all federal, state and local taxes. It is the Grand, First and Second prize winner’s responsibility to seek independent counsel regarding tax implications. The Grand, First and Second prize winner’s total prize value received from his/her participation in the Sweepstakes will be greater than six hundred dollars ($600), as a result the Grand, First and Second prize winner will be required to furnish UPI with his/her social security number for tax reporting purposes.
